Business registration

Business registration is regulated with norms of the Law on Trade Companies and Law on one-stop-shop system. Registration of the a company is done online through Single Trades Register. Since May 2015, online registration is done exclusively by Registration Agents which includes authorized lawyers and accountants for each municipality in the Republic of Macedonia.

With registration, Single Trades Register links the company with the Public Revenue Office ,Employment Agency, Tax Office within the municipality where the residence of the company is.

With registration of the employees in the Agency for Employment, employment is automatically linked with Pension and Disability Insurance Fund and Health Insurance Fond.

Most common forms of business registrations in the municipality of Gostivar are: Sole Trader, Sole Proprietor Limited Liability Company and Limited Liability Companies.

Sole trader

Sole trader is a natural person who as a profession performs some of the trade activities determined in article 4 of the Law on Trade Companies (purchase and sale of movable things in original, refined or processed form, commission based activities, storage services and leasing, hospitality-tourism activity, information activity, marketing and other intellectual activities).
Any natural person with contracting capacity and permanent residence in Republic of Macedonia can be registered as a sole trader in the Single Trades Register. The name has to contain the word TP.

For all business activities, sole trader is personally liable with hes/her entire assets.

Sole proprietorship limited liability company

This type of limited liability companies is established by one natural person and presents the most common type of trade companies in Gostivar. The company name has to contain the word DOOEL.
The minimum amount of initial capital is 5000 EUR which can be as a monetary deposit or non- monetary deposit.

In case of non-monetary deposit, the company has the obligation to register the non-monetary deposit within one year of registration in Single Trades Register. In this case an appraisal report on the non-monetary deposit shall be enclosed in the articles of the companies registration certificate.

For all business activities, Sole Proprietor Limited Liability Company is liable with the amount of its initial capital.

Limited liability company

Precondition for registration of limited liability company is contract between the founders of the company. Maximum number of the founders is 50.
The name of the company has to contain the words DOO.

The minimum amount of initial capital is 5000 EUR which can be as a monetary deposit or non- monetary deposit presented as contribution of the co-founders.

In case of non-monetary deposit, the company has the obligation to register the non-monetary deposit within one year of registration in Single Trades Register. In this case an appraisal report on the non-monetary deposit shall be enclosed in the articles of the companies registration certificate.

For all business activities, Limited Liability Company is liable with the amount of its initial capital.

Registration of artisans

Based on the Law for artisans, artisan can be any natural person or legal person with the following characteristics:
- Produces or provides services based on individual orders or requests;

- Production line is consisted on small quantities and it doesn't relay on automatized production process.

Latest changes in the Law for artisans (2015) obliges all artisans to be registered in the Chamber of Artisans and in the Single Trade Register.
